Synesis Terms of Service

These Terms of Service ("Terms") govern your access to and use of Synesis ("Service"), operated by Synesis ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Description of Service

Synesis is a financial analytics platform that connects to your accounting, point-of-sale, and commerce platforms (including QuickBooks Online, Shopify, Toast POS, and Commerce7) to provide dashboards, reports, and financial insights. The Service is delivered through strategist partners authorized by Synesis.

2. Eligibility and Accounts

You must be at least 18 years old and have authority to bind the business you represent. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. Authorized Use

You may use the Service only for lawful business purposes consistent with these Terms. You may not:

  • Reverse engineer, decompile, or attempt to extract source code from the Service
  • Use the Service to violate any applicable law or regulation
  • Attempt to gain unauthorized access to the Service or its underlying systems
  • Share your account credentials with unauthorized parties

4. Platform Integrations and Third-Party Services

The Service integrates with third-party platforms including QuickBooks Online (Intuit Inc.), Shopify, Toast POS, and Commerce7. By connecting these platforms, you authorize Synesis to access your data from those platforms as described in our Privacy Policy.

Synesis is not affiliated with, endorsed by, or sponsored by Intuit Inc., Shopify Inc., Toast Inc., or Commerce7. Your use of those platforms is governed by their respective terms of service.

5. Data Ownership

You retain ownership of all financial data, records, and business information you provide to or authorize Synesis to access through platform integrations. Synesis does not claim ownership of your underlying business data.

6. Privacy

Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Payment and Subscription

Access to the Service is provided through subscription arrangements agreed upon with your strategist partner or directly with Synesis. Subscription terms, fees, and renewal conditions are set forth in your order form or subscription agreement. These Terms govern all use of the Service regardless of the payment arrangement.

8. Anonymized Benchmarking and Aggregate Data

Synesis may use de-identified, aggregated financial metrics derived from client data to generate anonymized industry benchmarks — showing clients how their performance compares to anonymous peer businesses in similar segments.

What is included in benchmarks: Revenue, cost of goods sold (COGS%), gross margin%, labor cost%, and period growth rates.

What is never included: Vendor names, customer names, employee details, specific transaction records, or any data that could identify your business.

Anonymization guarantee: Benchmarks are only generated when at least 10 businesses contribute to the cohort. No individual client's data can be identified from any published benchmark.

Your opt-out right: You may opt out of contributing your de-identified metrics to benchmark pools at any time through Settings > Privacy > Benchmark Participation. Opt-out is prospective; previously computed aggregates will not be recalculated.

Intellectual property: Anonymized aggregate benchmark outputs and industry insights derived from the benchmark pool are the intellectual property of Synesis. Your underlying business data remains yours.

9. Intellectual Property

The Service, including its software, design, and content (excluding your data), is owned by Synesis and protected by intellectual property laws. Nothing in these Terms grants you ownership of any Synesis intellectual property.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SYNESIS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL ACCOUNTING, LEGAL, TAX, OR FINANCIAL ADVICE. CONSULT A QUALIFIED PROFESSIONAL FOR DECISIONS BASED ON FINANCIAL DATA.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYNESIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF SYNESIS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SYNESIS'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO SYNESIS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Synesis and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.

13. Term and Termination

These Terms remain in effect while you use the Service. Either party may terminate for material breach with written notice. Upon termination, your right to access the Service ceases immediately. Sections 5, 8, 10, 11, 12, 14, and 15 survive termination.

Upon termination, Synesis will provide a 30-day window to export your data before deletion, consistent with our Privacy Policy.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of [Governing State], without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Service shall be resolved by binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property disputes. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and any applicable subscription agreement, constitute the entire agreement between you and Synesis regarding the Service.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
  • No Waiver: Failure to enforce any provision of these Terms is not a waiver of our right to enforce it in the future.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Notices: Legal notices to Synesis should be sent to legal@synesisstrategy.com.

16. End User License Agreement (EULA)

This section constitutes the End User License Agreement ("EULA") between you and Synesis for your use of the Synesis software and platform.

16.1 License Grant

Subject to your compliance with these Terms, Synesis grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service through a standard web browser or approved client application for your internal business purposes.

16.2 License Restrictions

You may not:

  • Copy, modify, or distribute the Service or any part thereof
  • Sublicense, sell, rent, lease, or lend the Service to any third party
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Service
  • Use the Service to develop a competing product or service
  • Access the Service through automated means (bots, scrapers, spiders) except via documented APIs

16.3 Intellectual Property Ownership

All rights, title, and interest in and to the Service, including all software, algorithms, interfaces, text, graphics, trademarks, logos, and other intellectual property, remain the exclusive property of Synesis and its licensors. This EULA does not grant you any ownership rights in the Service.

16.4 Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. SYNESIS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SYNESIS DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE ERROR-FREE.

16.5 Termination of License

This license terminates automatically if you breach any provision of these Terms or this EULA. Upon termination, you must cease all use of the Service. Sections 16.3, 16.4, and the Limitation of Liability in Section 11 survive termination of this EULA.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the "Last Updated" date above and, for significant changes, by sending an email to account administrators. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
